공정거래 지침

Fair Trade Guidelines

본 지침은 금문산업㈜이 모든 사업과 영업활동을 수행함에 있어 임직원이 관련 법규를 철저히 준수하고, 투명하고 공정한 업무 수행으로 건전한 거래문화와 ESG 경영을 정착시키기 위한 기본 원칙 및 실행 지침을 제시함을 목적으로 한다.

These Guidelines set forth the fundamental principles and execution standards to ensure that all executives and employees of Gummoon Industry Co., Ltd. comply with applicable laws and conduct transparent and fair business practices, thereby fostering a sound trade culture and advancing ESG management.

본 지침은 회사의 모든 임직원에게 적용되며, 임직원은 공급자 및 협력사를 대할 때에도 본 지침을 준수하여 따라 업무를 수행한다. 또한, 회사와 거래관계가 있는 모든 이해관계자가 본 지침을 존중하고 준수할 수 있도록 적극 권장한다.

These Guidelines apply to all executives and employees of the Company. Employees shall comply with these Guidelines when engaging with suppliers and partners. The Company also encourages all stakeholders engaged in business with the Company to respect and adhere to these Guidelines.

제1장. 공정거래 기본원칙 (Chapter 1: Fair Trade Principles)

회사와 임직원은 자유경쟁의 원칙을 준수하고, 공정하고 자유로운 시장경제 질서를 존중하며, 경쟁사와의 공정한 경쟁을 통해 건전한 산업 생태계를 유지한다.

The Company and its employees shall comply with the principles of free competition, respect fair and free market order, and maintain a sound industrial ecosystem through fair competition with peers.

협력업체와의 거래관계는 상호 신뢰와 존중을 바탕으로 하며, 공정한 거래와 상생협력을 통해 지속 가능한 성장을 도모한다.

Business relationships with partners shall be based on mutual trust and respect, and the Company shall pursue sustainable growth through fair transactions and collaborative cooperation.

임직원은 회사의 모든 업무에서 윤리성, 투명성, 법규 준수를 우선으로 하며, 이해충돌을 회피하고 회사와 협력사의 권익을 보호한다.

Employees shall prioritize ethics, transparency, and compliance in all business activities, avoid conflicts of interest, and protect the rights and interests of both the Company and its partners.

제2장. 공정거래 세부규정 (Chapter 2. Fair Competition and Transactions)

[자유경쟁 및 공정거래(Free Competition and Fair Trade)]

①부당한 공동행위, 담합 및 공정성과 신뢰성을 훼손하는 불공정거래 행위를 금지하며, 모든 거래는 상호 대등한 위치에서 합리적이고 공정한 조건으로 이루어져야 하며, 정당한 이유 없이 거래의 거절, 중단, 또는 거래내용 및 조건의 제한을 금지한다.

Collusion, cartels, and any unfair trade practices that undermining fairness and trust are strictly prohibited. All transactions must be conducted on an equal footing under reasonable and fair terms, and refusal, suspension, or alteration of transactions or their conditions without legitimate cause is prohibited.

②협력업체의 기술자료나 지식재산권은 승인 하에 공정하게 사용하며, 부당한 요구를 하지 않는다.

The Company shall not make improper demands and shall only use a partner's technical data or intellectual property with prior approval and on fair terms.

[법규 준수(Compliance with Laws)]

①경영활동이 이루어지는 국가 및 지역의 거래 관습을 존중하고, 모든 구성원이 자발적으로 제반 법규를 준수한다.(『독점규제 및 공정거래에 관한 법률』, 『하도급거래 공정화에 관한 법률』, 『표시광고의 공정화에 관한 법률』 등)

The Company and all employees shall respect business customs in the countries and regions where operations are conducted and voluntarily comply with all applicable laws, including the Monopoly Regulation and Fair Trade Act, the Fair Transactions in Subcontracting Act, and the Act on Fair Labeling and Advertising.

②허위·과장 광고 및 표시, 불공정한 약관 사용, 협력사에 대한 강제구매 또는 경제적 이익 요구를 금지한다.

False or misleading advertising, unfair contract terms, forced purchasing, and solicitation of economic benefits from partners are prohibited.

③법령 위반 우려가 있을 경우, 준법관리 부서에 보고해야 하며, 위반 지시나 방조 행위를 금지한다.

Any suspected or potential legal violations must be reported to the Compliance Department. Issuing or condoning instructions to violate laws is strictly forbidden.

[상생협력(Mutual Growth)]

①구비된 자격에 부합하는 모든 협력회사에게 동등한 참여기회를 부여하고, 공정하고 객관적인 기준으로 선정한다.

All qualified partners shall be granted equal opportunities to participate, and selections shall be made based on fair and objective standards.

②협력사와의 거래 과정에서 취득한 영업비밀과 개인정보는 철저히 보호한다.

Trade secrets and personal information obtained during transactions with partners must be strictly protected.

③인권침해, 아동·강제노동, 환경오염, 공급망 투명성 확보, 부패 등 인권 및 환경에 위배되는 ESG 리스크가 발생하지 않도록 최선을 다하여 관리 및 지원한다.

The Company shall make every effort to prevent ESG risks, including human rights violations, child or forced labor, environmental pollution, supply chain opacity, and corruption, through management and support.

④필요시 공급망 ESG 평가를 실시하고, 시정조치를 협력사와 합의하여 이행한다.

Supply chain ESG assessments may be conducted as necessary, and corrective measures shall be implemented in consultation with partners.

제3장. 공정경영시스템 (Chapter 3: Fair Management System)

[신고 및 보호제도(Reporting and Whistleblower Protection)]

임직원은 누구든지 회사의 공정거래 규범 및 법규 위반행위가 발생하였거나 발생하고 있다는 사실을 알게 된 경우에는 "컴플라이언스 헬프데스크(E-mail : ethics@gummoon.co.kr, 또는 본사 5층 사내식당 앞 신고함)"에 보고하여야 한다.

Employees who become aware of any actual or suspected violation of the Company's fair trade standards or applicable laws shall report the matter to the Compliance Help Desk (E-mail: ethics@gummoon.co.kr or via the reporting box located in front of the staff cafeteria on the 5th floor of the headquarters).

공정거래규범 및 법규 위반 사항에 대하여 신고인의 익명성을 보장하고, 신고에 따른 불이익을 받지 아니하도록 보호하여야 한다.

Anonymity of individuals reporting violations of fair trade standards and relevant laws must be ensured, and they must be protected from any form of retaliation arising from such reports.

[모니터링 및 개선(Monitoring and Improvement)]

공정거래 준수현황에 대하여 정기적으로 설문조사를 실시하여 공정거래규정 이해도를 점검하고 공정거래수준의 자가진단의 활동을 실시한다. 이후 개선이 필요한 취약점을 파악하고 조치한다.

A regular Survey shall be conducted to review the current status of fair trade compliance, assess the level of understanding of fair trade regulations, and carry out self-diagnosis activities regarding fair trade practices. Afterward, any weaknesses requiring improvement shall be identified and addressed.

본 지침을 적용하는 조직은 필요하다고 판단되는 경우, 위반사항 재발 방지를 위해 적절한 방식을 선택해 해당 정보를 공개해야 한다.

Organizations to which this guideline applies shall, when considered necessary, select an appropriate means to disclose such information in order to prevent the recurrence of violations.

[교육 및 서약(Training and Pledge)]

①부서장 및 임원은 신입직원 및 기존 임직원에 대하여 「공정거래규범」 및 「공정거래 세부지침」을 준수하고 실천할 수 있도록 관련법규의 준수 및 공정거래 정착을 위한 교육을 시행해야 한다. 그리고 교육시행 후에는 결과보고서 및 교육대장을 작성해야 한다.

Department heads and executives shall ensure that new and existing employees receive regular training on compliance with the Fair Trade Code and related guidelines. Upon completion of the training, a result report and a training attendance log shall be prepared.

②모든 임직원은 「반부패 ∙ 공정거래 실천 서약서」에 서명·제출하여 준법 이행을 확약한다. (「반부패 ∙ 공정거래 실천 서약서」 : 별첨1. 참조)

All employees shall sign and submit the Anti-Corruption and Fair Trade Compliance Pledge (See Appendix 1) to confirm their commitment to compliance.

별첨1. 반부패·공정거래 실천 서약서 (Appendix 1. Anti-Corruption and Fair Trade Compliance Pledge)

나는 금문산업㈜의 임직원으로서 「공정거래지침」을 충분히 이해하였으며, 다음 사항을 준수하고 실천할 것을 서약합니다.

As an employee of Gummoon Industry Co., Ltd., I hereby acknowledge that I fully understand the Fair Trade Guidelines and pledge to comply with and uphold the following:

1. 법규준수 (Compliance with Laws)

「공정거래법」, 「하도급거래공정화법」, 「부당청탁금지법」 등 관련 법규와 회사 내규를 철저히 준수하고, 입찰담합, 불공정거래, 리베이트, 이해충돌 행위를 하지 않겠습니다.

I will strictly comply with all relevant laws and company regulations, including the Monopoly Regulation and Fair Trade Act, the Fair Transactions in Subcontracting Act, and the Improper Solicitation and Graft Act, and will not engage in bid-rigging, unfair trade, kickbacks, or conflicts of interest.

2. 공정한 거래와 상생 (Fair Transactions and Mutual Growth)

협력사와의 모든 거래에서 거래상 지위 남용 및 부당 요구를 하지 않으며, 대등하고 투명한 조건으로 공정한 거래를 수행하겠습니다.

I will not abuse my position or make improper demands in dealings with partners and will conduct all transactions on equal and transparent terms.

3. ESG 공급망 책임 (ESG and Supply Chain Responsibility)

아동·강제노동, 인권침해, 환경오염, 부패 행위가 발생하지 않도록 예방 및 관리하고, 공급망 내 ESG 리스크 개선 활동에 적극 협력하겠습니다.

I will work to prevent and manage any instances of child or forced labor, human rights violations, environmental pollution, or corruption, and will actively cooperate in efforts to improve ESG-related risks within the supply chain.

4. 신고와 보호 (Reporting and Protection)

공정거래 또는 법규 위반 사실을 인지하거나 우려가 있을 경우, 즉시 회사 감사부서 또는 준법관리 부서에 제보하겠습니다.

If I become aware of or suspect any violation of fair trade rules or laws, I will promptly report it to the Company's Audit Department or Compliance Department.

본 서약을 위반할 경우, 위반사항에 대해 관련 법규 및 내규에 따라 어떠한 제재도 감수할 것을 서약합니다.

I understand that any violation of this pledge may result in disciplinary action or other measures in accordance with applicable laws and company regulations, and I agree to accept such actions.
